Terms of Use

Effective October 25, 2025

These Terms of Use (“Terms”) govern your use of the Zoom Ah-Counter App (“the App”). By accessing or using the App, you agree to these Terms.

Purpose of the App

The App is designed to assist users in tracking filler words during meetings, including Toastmasters meetings, workshops, and presentations. It is intended for personal or organizational use to support speaking improvement.

No Collection of Personal Information

The App does not collect, store, transmit, or share personal data. All session tracking remains on the user’s local device and is not sent to any server or third party.

User Responsibilities

You agree to:

  • Use the App in a respectful and lawful manner.

  • Obtain any necessary consent if you are tracking speech habits of participants (e.g., in a club setting, inform attendees you are using an Ah-Counter tool).

  • Use the App only in meetings you are authorized to attend.

Local Data Storage

Any data tracked through the App (speaker lists, filler words, counts) is stored locally in your browser and can be cleared at any time. Clearing your browser’s storage or clicking “Reset” inside the App will remove the data.

Intellectual Property

The App, including its design, interface, and code, is the intellectual property of Sphynx LLC. Users may not copy, reverse engineer, resell, or distribute the App without written permission.

No Warranty

The App is provided “as is” without any warranties of any kind, expressed or implied. We do not guarantee that the App will:

  • function without interruption,

  • be error-free, or

  • meet your specific needs.

Use of the App is at your own discretion and risk.

Limitation of Liability

To the maximum extent permitted by law, Sphynx Automation is not liable for:

  • any loss or damages arising from the use or inability to use the App,

  • errors, inaccuracies, or tracking results, or

  • any issues caused by third-party platforms, including Zoom.

Updates and Changes

We may update or modify the App or these Terms from time to time. Continued use of the App after changes are posted implies acceptance of the updated Terms.

Termination

We reserve the right to suspend or terminate access to the App if misuse is detected, including abuse, unauthorized sharing, or attempts to modify or replicate the App.

Governing Law

These Terms are governed by the laws of the United States. Any disputes will be resolved in the jurisdiction where Sphynx Automation operates.
